It is situated in the Barrington Tops region and consists predominantly of very rugged to hilly country which becomes less rugged from north to south.

The major population centres within the Shire are Dungog, Gresford, Paterson, Vacy, Martins Creek and Clarence Town. It also includes two main rivers, the Paterson River to the west and the Williams River to the east.
Council
Dungog Shire Council is composed of nine councillors elected proportionally. The shire is divided into three wards, each electing three councillors. The mayor is not directly elected.[4] The current makeup of the council is as follows:[4]
