Charles Xiaolin Wang

Charles Xiaolin Wang is an experienced business entrepreneur, financier, and lawyer with an extensive background in capital markets financing and international business transactions. He currently serves as the President and Chief Executive Officer at GreenTech Automotive. Simultaneously, he serves as the Chairman and Chief Executive Officer of Capital Wealth Holdings, which is a BVI Company that has invested in automobile technology development in China and the U.S. Prior to his current positions, he has also served as CEO of Far East Golden Resources Group, Partner and Director of Asia Practice at Cadwalader, Wickersham & Taft LLP, and Head of China Practice at Wiley, Rein & Fielding.

Education

Wang grew up in China’s Hunan Province. He received his Bachelor of Law Degree from Xiangtan University College of Law in China in 1989. After graduating from Xiangtan University, he worked as a clerk for the People’s Court for the Western District of Changsha until 1991. He then came to the U.S. to study at Ohio University and received his Masters of Arts degree in International Development Studies. Additionally, Wang was honored as a Fulbright Scholar and with a Graduate Fellowship from Ohio University. He furthered his education at Duke University School of Law and graduated cum laude with a Juris Doctor degree and a Masters of Law degree in International and Comparative Law in 1999. He was also a recipient of a David H. Siegal Scholar Award and participated in Duke’s Journal of International and Comparative Law.

Entrepreneur & Financier

Wang's entrepreneurship began at a young age when he founded Charles Brothers, Inc., a computer network company and training center, shortly after graduating from Ohio University in 1994. While there, he developed business plans and marketing strategies as well as managed all aspects of the business. This was the first step to Wang’s path in entrepreneurship and management.

Capital Wealth Holdings

In 2005, Wang was a partner in a joint venture project between CWH and Huafu Insurance, during which he also served as a partner with Huafu Insurance Brokerage LLC. The next year he transitioned to CWH, where he currently serves as Chairman and CEO. In his position with CWH, Wang has invested in Chinese automotive engineering firms such as Tongzheng Automotive Design Engineering Co. Ltd.

Far East Golden Resources

From 2007 to 2009, Wang was the CEO of Far East Golden Resources Group, a publicly listed company in the Hong Kong Stock Exchange with primary businesses in car dealership networks and auto parts manufactures in China. Among his accomplishments while at Far East, he managed the corporate capital structure, launched a series of acquisitions of natural resources in China, and raised more than $30 million US dollars for the company. At the same time, he directly supervised and served as CEO of Far East’s wholly owned subsidiary in the U.S., American Compass, Incorporated, until March 2009.

GreenTech Automotive

In 2008, Wang was one of the founders of WM GreenTech Automotive (GTA) and remains the company’s President and Chief Executive Officer. GTA is a company dedicated to the research, development, marketing, and production of energy efficient, affordable hybrid vehicles[1]. GTA announced its project in October 2009 with a ceremonial groundbreaking event[2], and the company presently has a 400,000-square-foot (37,000 m2) production plant under construction in Northern Mississippi. The company has 5 automobiles in its product line, including 2 electric vehicles and 3 hybrids. The project is expected to substantially increase employment in the project's region and promote economic development.

Lawyer

Wang's background blends both law and financial practices. His legal expertise is in the areas of international trade, asset-backed securitization, international joint venture, corporate finance, corporate governance, and securities regulation. After graduating with his Bachelor of Law degree, he began his legal career working as a clerk at the People’s Court for the Western District of Changsha. While there, he assisted judges in hearing and deciding commercial, civil, and real estate cases.

Associate

After receiving his J.D. and LL.M from Duke University School of Law, Wang began his legal practice as an Associate at a prestigious New York law firm Cleary, Gottlieb, Steen & Hamilton in its Washington, D.C. office. As an Associate, he focused on the fields of structured finance, corporate and securities laws, and banking regulations. He had exposures in dealing with complex preferred shareholders’ rights in mergers and acquisitions. He also worked with regulatory issues, bank mergers and acquisitions, antitrust, and formation of bank holding companies.

Wang continued his legal career as an Associate in the Capital Markets Department at a prominent and the oldest New York law firm Cadwalader, Wickersham & Taft. There he was involved in various commercial mortgage-backed securities transactions, and he participated in a series of innovative and complex capital markets transactions involving the hybrid structure of mortgage-backed securities and collateral debt obligations.

Head of China Practice

After gaining experience as an Associate, Wang then moved on to Wiley, Rein & Fielding, a prestigious law firm in Washington D.C., where he served as Of Counsel and Head of China Practice. In this capacity, he developed a substantial practice in China and focused on joint venture transactions, antidumping, intellectual property, banking, and other international transactions and trade law matters. While at Wiley Rein & Fielding, Wang was also the Lead Counsel for some of the most complicated international commercial disputes. Most notably, he served as the Lead Counsel to the entire Chinese television industry for the largest U.S. antidumping investigation against Chinese producers at the time[3].

Partner & Director of Asia Practice

In August 2004 after practicing for only five years, Wang returned to Cadwalader, Wickersham & Taft as a Partner and the Director of the firm’s Asia Practice[4]. He established the Asia Practice for the firm and continued to practice law in international trade and capital market transactions.

2005 Burton Award of Legal Achievement

Wang was the recipient of the 2005 Burton Award of Legal Achievement, which is a prestigious honor in connection with the U.S. Library of Congress[6].

Bar Admissions

Wang is admitted to the New York State Bar Association , the District of Columbia Bar, and the U.S. Court of International Trade Bar.

Scholarship

Wang serves as a senior fellow at the International Law Institute in Washington, D.C. He also serves as the Secretariat General of the China Financial Policy Research Center of Peking University. He taught graduate level courses at law schools of both Peking University and Tsinghua University, the two most prestigious universities in China.
