Firm History

The predecessor Illinois based firm, Katten Muchin Zavis, was founded in 1974 by 24 attorneys in Chicago. Their goal was to expand their practices, provide the highest quality legal services, and build a full-service national law firm. By 2002, the Firm had opened offices in Los Angeles, New York, Washington D.C., and Palo Alto, California.

In 2002, Katten merged with the New York based firm, Rosenman & Colin LLP. Rosenman & Colin LLP had a very long illustrious existence prior to the merger, having been founded in the early part of the 20th century. On May 2, 2005, the Firm changed its name to Katten Muchin Rosenman LLP. In June 2005, Katten established a London presence through its affiliation with Katten Muchin Rosenman Cornish LLP.

Litigation

The firm’s trial lawyers handle cases ranging from contract disputes and regulatory matters to securities class action lawsuits, antitrust matters and other complex commercial and criminal litigation. The Securities Litigation Practice represents corporations and their officers and directors in shareholder class actions, derivative actions, SEC investigations and federal and state criminal investigations. They also represent clients in corporate control disputes and mergers and acquisitions litigation. The White Collar Criminal and Civil Litigation Practice is led by former federal prosecutors and law enforcement officers with broad investigative, trial and appellate experience. The Environmental Practice handles some of the largest and most complex environmental litigation in the country involving soil contamination and hazardous waste and substances.

Trusts and Estates

The Trusts and Estates Practice develops and implements sophisticated estate, tax, business succession and charitable plans on the state, federal and international levels. They handle all aspects of the administration of estates and trusts, as well as probate, accounting, tax and other litigation on behalf of both fiduciaries and beneficiaries of complex estates and trusts. The national practice is headed by Joshua S. Rubenstein. The New York City office is headed by Ronni G. Davidowitz.

Corporate

The Corporate Practice provides transactional representation and business counseling on a national basis across a broad range of concentrations. The Mergers and Acquisitions Practice is involved in all aspects of public and private mergers, acquisitions and divestitures, representing both targets and bidders in negotiated and hostile takeovers. The Private Equity Practice represents leveraged buyout funds, mezzanine debt funds and venture capital funds in acquisitions, divestitures and financing transactions, as well as general partners and institutional limited partners in all aspects of private equity fund formation. The Securities Practice assists clients with public and private offerings of equity and debt securities, tender offers, proxy contests and going private transactions. They also provide Corporate Governance counseling to public and private companies, boards of directors and board committees. The Entertainment and Media Practice provides transactional, general corporate, and litigation representation to the entertainment and media industry. The Health Care Practice represents health care systems, hospitals, academic medical centers, physician groups, ancillary care providers, integrated delivery systems, and managed care organizations.

Real Estate

The Real Estate Practice serves clients in virtually every aspect of real estate law, including acquisitions, dispositions, developments and financings, along with establishment of joint ventures, real estate investment trusts, real estate opportunity funds and other real estate investment vehicles. Financial Services

The Financial Services Practice regularly advises a broad range of participants in the financial services arena, including broker-dealers, futures commission merchants, investment advisors, finance companies, investment bankers, futures and securities exchanges, commodity trading advisors, pension funds, banks and insurance companies, as well as investment vehicles such as hedge funds, commodity pools, venture capital funds and private equity funds, securitization vehicles, mutual funds and bank collective investment funds. Attorneys apply an interdisciplinary approach in providing comprehensive legal services, including regulatory and transactional advice, tax and ERISA counsel, and domestic and foreign litigation.

Commercial Finance

The Commercial Finance Practice represents financial institutions making a wide variety of debt investments of all types and sizes in a broad range of industries. The firm’s “senior” lending practice involves the representation of administrative agents and lead arrangers in syndicated asset based and cash flow financing transactions to support leveraged buyout, recapitalization, acquisition and refinancing transactions. The firm also represents investors in a wide variety of secured and unsecured mezzanine investments, Term B and Second Lien Loans and related equity co-investments and standalone equity investments.

Intellectual Property

The Intellectual Property Practice secures, protects and enforces patents, trademarks, trade secrets and other intellectual property. It has represented plaintiffs and defendants in some of the most significant intellectual property cases (i.e., patents, trademarks, trade secrets, copyrights and unfair competition) of the last 20 years, for some of the world’s most prominent corporations. These attorneys also work with the firm’s corporate technology lawyers in exploiting intellectual property rights through licensing, joint venture and technology transfer agreements.

Tax

The Tax Practice handles U.S. and international tax planning and advises clients on the tax aspects of mergers and acquisitions, recapitalizations, reorganizations, spin-offs, venture capital and LBO transactions and financings, investment fund formation, securitizations of debt, equipment leasing, real estate transactions, hedge funds, public and private partnerships, limited liability companies, and closely held and multinational corporations.
