Kathryn Chaffin-Honda et al. v. Cheryl Lynn Reynolds et al.

Kathryn Chaffin-Honda et al. v. Cheryl Lynn Reynolds et al., No. CV200700858, was a case decided in 2008 involving LimeLight Productions, Inc. and Off Broadway Theatre, LLC. LimeLight, founded by Chaffin-Honda in 1984, was a a 501(c)(3) non profit corporation. Reynolds was appointed to the board by Chaffin-Honda in January 2006. On May 14, 2007 Reynolds reserved the name Off Broadway Theatre. On July 05, 2007 she filed articles of incorporation, thus effectively creating a for-profit competitor of the non-profit corporation of which she was serving as president.cite court

url = http://uploadingit.com/files/630829_rlwta/LimelightRuling.pdf .] The Court granted Reynolds' Motion to Dismiss on the technicality of the plaintiffs not being able to prove that they consisted of twenty-five percent of the board or fifty members, whichever was less. Her Motion for Mandatory Indemnification was denied on the grounds that, as an illegal director of the organization, she failed to rectify the illegality when she was able to do so. The plaintiffs' next action was to request that Limelight's lawyer, hired by Reynolds, be removed from the case. Deanna Rader, one of the attorneys for the plaintiffs, subsequently announced that her further involvement would be pro bono. Legal proceedings are continuing while the court determines whether the plaintiffs have standing for a case. No further legal action against Off-Broadway can occur until a decision has been made regarding the plaintiffs' legal right to pursue a case against the defendants.
